Information Access and Software License Agreement

This Information Access and Software License Agreement (the “Agreement”), entered into by and between the Manufacturers’ Agents Association for the Foodservice Industry, a Georgia nonprofit corporation having its principal place of business at 1199 Euclid Avenue, Atlanta, Georgia 30307 (“Licensor”) and the Person accepting this Agreement (“Licensee”, together with Licensor, the “Parties”, and each, a “Party”).  This Agreement is effective as of the date and time, Eastern Standard Time, when Licensee clicks the “I accept” button or otherwise accepts this Agreement (the “Effective Date”).
 
1.   Definitions. Capitalized terms have the meanings set forth in this Section 1:

“Action” means any direct or third party claim, suit, action or proceeding.

“Authorized User” means each of the individuals authorized to use the Licensed Software pursuant to Section 2 and the other terms and conditions of this Agreement, including, without limitation, any online order forms.

“Controlled Technology” means any software, documentation, technology or other technical data, or any products that include or use any of the foregoing, the export, re-export or release of which to certain jurisdictions or countries is prohibited or requires an export license or other governmental approval, under any Law, including the US Export Administration Act and its associated regulations.

“Customer Data” means public and non-public data provided by Licensee to Licensor.  Customer Data shall also include any data, information or specifications supplied by Members of Licensor to Licensor, supplied by third parties to Licensor, or otherwise obtained by Licensor from its Members or from third parties, which is used as part of the Licensed Software. 

“Initial Service Term” means a period of thirty (30) days, beginning on the Effective Date, regardless of whether such time period is part of a free trial promotion offered in writing by Licensor.

“Intellectual Property Rights” means any and all registered and unregistered rights granted, applied for or otherwise now or hereafter in existence under or related to any patent, copyright, trademark, trade secret, database protection or other intellectual property rights laws, and all similar or equivalent rights or forms of protection, in any part of the world.

“Law” means any statute, law, ordinance, regulation, rule, code, order, constitution, treaty, common law, judgment, decree or other requirement or rule of any federal, state, local or foreign government or political subdivision thereof, or any arbitrator, court or tribunal of competent jurisdiction.

“Licensed Software” means the software and cloud computing access service provided to Licensee pursuant to this Agreement.  

“New Version” means any new version of the Licensed Software that Licensor may from time to time introduce and market generally as a distinct licensed product (as may be indicated by Licensor’s designation of a new version number), and which Licensor may make available to Licensee at an additional cost under a separate written agreement.

“Permitted Use” means use of the Licensed Software by an Authorized User for the benefit of Licensee in the ordinary course of its internal business operations.
 
“Person” means an individual, corporation, partnership, joint venture, limited liability entity, governmental authority, unincorporated organization, trust, association or other entity.

“Representatives” means, with respect to a Party, that Party’s and its affiliates’ employees, officers, directors, agents and legal advisors.

“Services” means the services provided by the Licensor in the form of the Licensed Software and Customer Data and otherwise as specifically provided in this Agreement. 

2.   License.
 
    2.1.   License Grant. Subject to the terms and conditions of this Agreement, and conditioned on Licensee’s and its Authorized Users’ compliance therewith, Licensor hereby grants to Licensee a non-exclusive, non-sublicensable and non-transferable, limited license to access the Customer Data and for that purpose use as needed the Licensed Software solely for the Permitted Use during the Term, as defined in Section 9.  All rights in the Licensed Software, Customer Data, and Services not expressly granted herein are reserved by Licensor.
 
3.   Use Restrictions. Except as this Agreement expressly permits, Licensee shall not, and shall not permit any other Person to: (a)   copy the Licensed Software, in whole or in part; (b)   modify, correct, adapt, translate, enhance or otherwise prepare derivative works or improvements of any Licensed Software; (c)   rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make available the Licensed Software to any Person, including on or in connection with the internet or any time-sharing, service bureau, software as a service, cloud or other technology or service; (d)   reverse engineer, disassemble, decompile, decode or adapt the Licensed Software, or otherwise attempt to derive or gain access to the source code of the Licensed Software, in whole or in part; (e)   bypass or breach any security device or protection used for or contained in the Licensed Software; (f)   remove, delete, efface, alter, obscure, translate, combine, supplement or otherwise change any trademarks, terms of the warranties, disclaimers, or Intellectual Property Rights, proprietary rights or other symbols, notices, marks or serial numbers on or relating to any copy of the Licensed Software; (g)   use the Licensed Software in any manner or for any purpose that infringes, misappropriates or otherwise violates any Intellectual Property Right or other right of any Person, or that violates any applicable Law; (h)   use the Licensed Software for purposes of: (i) benchmarking or competitive analysis of the Licensed Software; (ii) developing, using or providing a competing software product or service; or (iii) any other purpose that is to Licensor’s detriment or commercial disadvantage; (i)   use the Licensed Software in or in connection with the design, construction, maintenance, operation or use of any hazardous environments, systems or applications, any safety response systems or other safety-critical applications, or any other use or application in which the use or failure of the Licensed Software could lead to personal injury or severe physical or property damage; or (j)   use the Licensed Software other than for the Permitted Use or in any manner or for any purpose or application not expressly permitted by this Agreement.
 
4.   Delivery. Licensee shall access the Customer Data and Licensed Software through use of the Authorized User username and password as created on Licensor’s website.
 
5.   Acceptance. Licensee shall be deemed to have accepted any and all terms of this Agreement if Licensee commences access to the Customer Data and Services, and/or uses the Licensed Software.

6.   Maintenance. Licensor shall use reasonable efforts consistent with prevailing industry standards to maintain the Licensed Software, Customer Data and Services in a manner which minimizes errors and interruptions in the Licensed Software, Customer Data and Services and shall perform the Services in a professional and workmanlike manner.  Licensed Software, Customer Data and Services may be temporarily unavailable for scheduled maintenance or for unscheduled emergency maintenance, either by Licensor or by third-party providers, or because of any other cause beyond Licensor’s reasonable control, but Licensor shall use reasonable efforts to provide advance notice in writing or by email of any scheduled service disruption.  HOWEVER, LICENSOR DOES NOT WARRANT THAT THE LICENSED SOFTWARE, CUSTOMER DATA AND SERVICES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DOES IT MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE LICENSED SOFTWARE, CUSTOMER DATA AND SERVICES EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE LICENSED SOFTWARE, CUSTOMER DATA AND SERVICES ARE PROVIDED “AS IS” AND LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.  Further, Licensee does not have any right hereunder to receive any New Versions of the Licensed Software that Licensor may, in its sole discretion, release from time to time. 

7.   Fees and Payment.
 
    7.1.   License Fees. In consideration of the rights granted to Licensee under this Agreement, Licensee shall pay to Licensor the applicable fees described in the online order form, available through Licensor’s website, for the Services according to the Term (the “Fees”).  Licensor reserves the right to change the Fees or applicable charges at the end of the Initial Service Term or then-current renewal term, upon thirty (30) days’ written notice to Licensee, which may be sent to Licensee via email to the email address Licensee has provided to Licensor.

    7.2.   Taxes. All Fees and other amounts payable by Licensee under this Agreement are exclusive of taxes and similar assessments. 
 
    7.4.   Payment. Licensee shall pay all license fees due and owing under this Agreement on or before the monthly anniversaries of the Effective Date. Licensee shall make all payments hereunder in US dollars through Licensor’s website or otherwise as Licensor may specify in writing from time to time.
 
   7.5.   Late Payment. If Licensee fails to make any payment when due then, in addition to all other remedies that may be available to Licensor:
 
(a)   Licensor may charge interest on the past due amount at the rate of one and one-half percent (1.5%) per month calculated daily and compounded monthly or, if lower, the highest rate permitted under applicable Law; 

(b)   Licensee shall reimburse Licensor for all costs incurred by Licensor in collecting any late payment of amounts due or related interest, including reasonable attorneys’ fees, court costs and collection agency fees; and
 
(c)   if such failure continues for thirty (30) days following written notice thereof, Licensor may: (i) disable Licensee’s use of the Licensed Software and access to Customer Data (including by means of a disabling code, technology or device); (ii) withhold, suspend or revoke its grant of a license hereunder; and/or (iii) terminate this Agreement under Section 9. 

    7.6.   No Deductions or Setoffs. All amounts payable to Licensor under this Agreement shall be paid by Licensee to Licensor in full without any setoff, recoupment, counterclaim, deduction, debit or withholding for any reason (other than any deduction or withholding of tax as may be required by applicable Law). 
 
8.   Intellectual Property Rights.
 
    8.1.   Intellectual Property Ownership. Licensee acknowledges and agrees that:
 
(a)   the Licensed Software and the Customer Data as reorganized and made accessible by Licensor are licensed, not sold, to Licensee by Licensor and Licensee does not and will not have or acquire under or in connection with this Agreement any ownership interest in the Licensed Software, or in any related Intellectual Property Rights;
 
(b)   Licensor will remain the sole and exclusive owner of all right, title and interest in and to the Licensed Software, including all Intellectual Property Rights relating thereto, subject only to the limited license granted to Licensee under this Agreement; and 

(c)   Licensee hereby unconditionally and irrevocably assigns to Licensor or Licensor’s designee, its entire right, title and interest in and to any Intellectual Property Rights that Licensee may now or hereafter have in or relating to the Licensed Software (including any rights in derivative works or patent improvements relating to either of them), whether held or acquired by operation of law, contract, assignment or otherwise.
 
    8.2.   Licensee Cooperation and Notice of Infringement. Licensee shall, during the Term:
 
(a)   safeguard the Licensed Software from infringement, misappropriation, theft, misuse or unauthorized access;
 
(b)   at Licensor’s expense, take all such steps as Licensor may reasonably require to assist Licensor in maintaining the validity, enforceability and Licensor’s ownership of the Intellectual Property Rights in the Licensed Software;

(c)   promptly notify Licensor in writing if Licensee becomes aware of:
 
(i)   any actual or suspected infringement, misappropriation or other violation of Licensor’s Intellectual Property Rights in or relating to the Licensed Software; or
 
(ii)   any claim that the Licensed Software, including any production, use, marketing, sale or other disposition of the Licensed Software, in whole or in part, infringes, misappropriates or otherwise violates the Intellectual Property Rights or other rights of any Person; and 

(d)   Fully cooperate with and assist Licensor in all reasonable ways in the conduct of any Action by Licensor to prevent or abate any actual or threatened infringement, misappropriation or violation of Licensor’s rights in, and to attempt to resolve any claims relating to, the Licensed Software, including having Licensee’s employees testify when requested and making available for discovery or trial relevant records, papers, information, samples, specimens and the like. 
 
    8.3.   No Implied Rights. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel or otherwise, to Licensee or any third party any Intellectual Property Rights or other right, title, or interest in or to any of the Licensed Software.

9.   Term and Termination.
 
    9.1.    Term.  Subject to earlier termination as provided below, this Agreement is for the Initial Service Term and shall be automatically renewed for additional periods of the same duration as the Initial Service Term (collectively, the “Term”), unless either party terminates this Agreement in writing as provided below.

    9.2.   Termination.  Licensor may terminate this Agreement in writing, immediately, for its convenience. Licensee may terminate this Agreement in writing at any time upon thirty (30) days’ notice to Licensee.
 
    9.3.   Effect of Termination or Expiration.
 
On the expiration or earlier termination of this Agreement:
 
(a)   all rights, licenses and authorizations granted to Licensee hereunder will immediately terminate and Licensee shall:
 
(i)    immediately cease all use of and other activities with respect to the Licensed Software other than those described in Section 9.3(a)(ii);
 
(ii)   within fifteen (15) days deliver to Licensor, or at Licensor’s written request destroy, and permanently erase from all devices and systems Licensee directly or indirectly controls, the Licensed Software, and the Licensor’s confidential information, including all documents, files and tangible materials (and any partial and complete copies) containing, reflecting, incorporating or based on any of the foregoing, whether or not modified or merged into other materials;
 
(b)    Licensor has the right to require Licensee to certify to Licensor in a signed and notarized written instrument that it has complied with the requirements of this Section 9.3; and
 
(c)   all amounts payable by Licensee to Licensor of any kind under this Agreement are immediately payable and due no later than thirty (30) days after termination of this Agreement.

    9.4.   Surviving Terms. The provisions set forth in the following sections, and any other right, obligation or provision under this Agreement that, by its nature, should survive termination or expiration of this Agreement, will survive any expiration or termination of this Agreement: this Section 9.4, Section 1 (Definitions), Section 6 (Maintenance), Section 8 (Intellectual Property Rights), Section 10 (Representations and Warranties), Section 11 (Limitations of Liability) and Section 13 (Miscellaneous).

10.   Representations and Warranties.
 
    10.1.   Mutual Representations and Warranties. Each Party represents, warrants and covenants to the other Party that:

(a)   it is duly organized, validly existing and in good standing as a corporation or other entity under the Laws of the jurisdiction of its incorporation or other organization;
 
(b)   it has the full right, power and authority to enter into and perform its obligations and grant the rights, licenses and authorizations it grants and is required to grant under this Agreement;

(c)   the execution of this Agreement by its representative whose signature is set forth at the end of this Agreement has been duly authorized by all necessary corporate or organizational action of such Party; and
 
(d)   when executed and delivered by both Parties, this Agreement will constitute the legal, valid and binding obligation of such Party, enforceable against such Party in accordance with its terms. 
  
10.2.	Limited Warranty. Notwithstanding anything to the contrary, the Customer Data used in the Licensed Software is provided “AS IS”, and, pursuant to 10.3 below, Licensor does not make any warranties or representations as to such Customer Data. In addition, in no event shall Licensor be liable beyond thirty (30) days from the Effective Date.  All Services are provided on a best efforts basis.

10.3.	Verifying Accuracy of Customer Data.  Licensor makes no warranty as to the accuracy of the Customer Data.  Licensee agrees that it is responsible for independently verifying the accuracy of the Customer Data prior to relying and/or acting upon any such Customer Data.

10.4.   DISCLAIMER OF WARRANTIES. EXCEPT AS OTHERWISE EXPRESSLY PROVIDED IN THIS AGREEMENT, ALL LICENSED SOFTWARE AND OTHER PRODUCTS, INFORMATION, MATERIALS AND SERVICES PROVIDED BY LICENSOR ARE PROVIDED “AS IS.” LICENSOR HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHER (INCLUDING ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE OR TRADE PRACTICE), AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, LICENSOR MAKES NO WARRANTY OF ANY KIND THAT THE LICENSED SOFTWARE OR ANY OTHER LICENSOR OR THIRD-PARTY GOODS, SERVICES, TECHNOLOGIES OR MATERIALS (INCLUDING ANY SOFTWARE OR HARDWARE), OR ANY PRODUCTS OR RESULTS OF THE USE OF ANY OF THEM, WILL MEET LICENSEE’S OR OTHER PERSONS’ REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY OTHER GOODS, SERVICES, TECHNOLOGIES OR MATERIALS (INCLUDING ANY SOFTWARE, HARDWARE, SYSTEM OR NETWORK), OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE OR ERROR FREE.  ALL OPEN-SOURCE COMPONENTS AND OTHER THIRD-PARTY MATERIALS ARE PROVIDED “AS IS” AND ANY REPRESENTATION OR WARRANTY OF OR CONCERNING ANY OF THEM IS STRICTLY BETWEEN LICENSEE AND THE THIRD-PARTY OWNER OR DISTRIBUTOR OF SUCH OPEN-SOURCE COMPONENTS AND THIRD-PARTY MATERIALS.

11.   Limitations of Liability.
 
    11.1.   EXCLUSION OF DAMAGES. IN NO EVENT WILL LICENSOR BE LIABLE UNDER OR IN CONNECTION WITH THIS AGREEMENT OR ITS SUBJECT MATTER UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY AND OTHERWISE, FOR ANY (a) INCREASED COSTS, DIMINUTION IN VALUE OR LOST BUSINESS, PRODUCTION, REVENUES OR PROFITS, (b) LOSS OF GOODWILL OR REPUTATION, (c) USE, INABILITY TO USE, LOSS, INTERRUPTION, DELAY OR RECOVERY OF ANY LICENSED SOFTWARE, (d) LOSS, DAMAGE, CORRUPTION OR RECOVERY OF DATA, OR BREACH OF DATA OR SYSTEM SECURITY, (e) COST OF REPLACEMENT GOODS OR SERVICES, OR (f) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED OR PUNITIVE DAMAGES, IN EACH CASE REGARDLESS OF WHETHER SUCH PERSONS WERE ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.
 
    11.2.   CAP ON MONETARY LIABILITY. IN NO EVENT WILL THE AGGREGATE LIABILITY OF LICENSOR ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING UNDER OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL OR EQUITABLE THEORY, EXCEED THE TOTAL AMOUNTS PAID AND AMOUNTS ACCRUED BUT NOT YET PAID TO LICENSOR UNDER THIS AGREEMENT IN THE THIRTY (30) DAY PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM. 

12.   Export Regulation. Licensee shall not itself, or permit any other Person to, export, re-export or release, directly or indirectly any Controlled Technology to any country, jurisdiction or Person to which the export, re-export or release of Controlled Technology (a) is prohibited by applicable Law or (b) without first completing all required undertakings (including obtaining any necessary export license or other governmental approval).
 
13.   Miscellaneous.
 
    13.1.   Further Assurances. On a Party’s reasonable request, the other Party shall, at the requesting Party’s sole cost and expense, execute and deliver all such documents and instruments, and take all such further actions, as may be necessary to give full effect to this Agreement.
 
    13.2.   Relationship of the Parties. The relationship between the Parties is that of independent contractors. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the Parties, and neither Party shall have authority to contract for or bind the other party in any manner whatsoever.
 
    13.3.   Notices. Any notice, request, consent, claim, demand, waiver or other communication under this Agreement will have legal effect only if in writing and sent to Licensor at info@MAFSI.com, and to Licensee at the email address provided by Licensee in the online order form, as updated at any time, and from time to time, on Licensor’s website.  Notices sent in accordance with this Section 13.3 will be deemed effective when sent.
 
    13.4.   Headings. The headings in this Agreement are for reference only and do not affect the interpretation of this Agreement.
 
    13.5.   Entire Agreement. This Agreement constitutes the entire agreement of the Parties hereto as to all matters and supersedes all prior agreements and representations with respect to the subject matter hereof. The Parties expressly agrees that there are no other agreements, terms, rights or understandings in relation to the engagement, to which either Party is now or hereafter entitled, except as specifically set forth herein.  This Agreement may not be modified, or amended, in any way, except by a writing executed by both Parties, which writing sets forth such modification as its express purpose. There shall be no amendment of this Agreement by implication, action of the parties, course of dealing, estoppel or otherwise.
 
    13.6.   Assignment. Licensee may not assign any of its rights or obligations hereunder, whether by operation of law or otherwise, without Licensor’s prior written consent, which consent shall not to be unreasonably withheld. Licensor has the right to assign any and all of its rights under this Agreement, including, but not limited to, through the sale of substantially all of its assets or a change of voting control, without the consent of Licensee.  Subject to the foregoing, this Agreement shall bind and inure to the benefit of the parties, their respective successors and permitted assigns.

    13.7.   No Third-party Beneficiaries. This Agreement shall be for the benefit of the named Parties and others as expressly provided herein. This Agreement shall not be interpreted, directly or by implication, to provide any rights, assurances or benefits to any third parties.
 
    13.8.   Amendment and Modification; Waiver. No amendment to or modification of or rescission, termination or discharge of this Agreement is effective unless it is in writing, identified as an amendment to or rescission, termination or discharge of this Agreement and signed by an authorized representative of each Party. No waiver by any Party of any of the provisions hereof shall be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any rights, remedy, power or privilege arising from this Agreement shall operate or be construed as a waiver thereof; nor shall any single or partial exercise of any right, remedy, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege.
 
    13.9.   Severability. If any provision of this Agreement is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. On such determination that any term or other provision is invalid, illegal or unenforceable, the Parties hereto shall negotiate in good faith to modify this Agreement so as to effect the original intent of the Parties as closely as possible in a mutually acceptable manner in order that the transactions contemplated hereby be consummated as originally contemplated to the greatest extent possible.
 
    13.10.   Governing Law; Submission to Jurisdiction. This Agreement shall be construed pursuant to the laws of the State of Georgia.  Any litigation in relation to this Agreement shall be brought only in the Courts located within Fulton County, Georgia, and all parties agree that they are subject to, and consent to, the jurisdiction and service of process of those Courts.  1In any litigation in relation to this Agreement, the prevailing party shall be entitled to recover reasonable attorneys’ fees and all costs of litigation, including, but not limited to, discovery, depositions, travel, court costs, experts and the like.
 
    13.11.   Waiver of Jury Trial. Each Party irrevocably and unconditionally waives any right it may have to a trial by jury in respect of any legal action arising out of or relating to this Agreement or the transactions contemplated hereby.
 
    13.12.   Equitable Remedies. Licensee acknowledges and agrees that a breach or threatened breach by Licensee of any of its obligations under Section 3 (Use Restrictions) or Section 8 (Intellectual Property Rights) of this Agreement would cause Licensor irreparable harm for which monetary damages would not be an adequate remedy and that, in the event of such breach or threatened breach, Licensor will be entitled to equitable relief, including in a restraining order, an injunction, specific performance and any other relief that may be available from any court of competent jurisdiction, without any requirement to post a bond or other security, or to prove actual damages or that monetary damages are not an adequate remedy. Such remedies are not exclusive and are in addition to all other remedies that may be available at law, in equity or otherwise.
 
    13.13.   Attorneys’ Fees. In the event that any Action, suit, or other legal or administrative proceeding is instituted or commenced by either Party against the other Party arising out of this Agreement, the prevailing Party shall be entitled to recover all costs actually incurred, including, but not limited to, all expenses of litigation, court costs, and reasonable attorneys’ fees.
 
	This Agreement is effective as of the date and time, Eastern Standard Time, when Licensee clicks the “I accept” button or otherwise accepts this Agreement (the “Effective Date”).
